ARMSTRONG TEASDALE: Armstrong Teasdale Adds Three Associates in St. Louis

Armstrong Teasdale issued the following announcement on Aug. 16.

Armstrong Teasdale, a law firm with offices across the United States, proudly announces the addition of associates Brian C. Zaldivar, Han Liu and Michael W. Carwin to its office in St. Louis, Missouri.

Attorney Brian ZaldivarZaldivar is an associate focusing on corporate and real estate transactions. He regularly assists clients of all sizes in mergers, acquisitions and restructurings, as well as strategic business planning, joint ventures and formation. Zaldivar manages the due diligence process and negotiates and drafts critical documents including asset purchase agreements, stock purchase agreements and all ancillary financing and closing documents.

Zaldivar also works with clients on real estate transactions to secure public funding and advises clients on tax increment financing (TIF), transportation development districts (TDDs) and community improvement districts (CIDs). He has experience drafting various real estate documents including triple net (NNN) leases, as well as financing and security agreements. Zaldivar also has experience related to the laws of homeowner and condominium management associations and estate planning. In addition, Zaldivar counsels clients on corporate governance and compliance, including fiduciary duties and voting and election procedures.

Prior to joining the firm, Zaldivar was a transactional attorney at another St. Louis area law firm. He also has past experience working for the Financial Industry Regulatory Authority (FINRA) as a legal extern in the enforcement division. In addition, he is a captain for the Military Intelligence Readiness Command in the U.S. Army Reserves.

He earned his J.D. from Washington University School of Law and B.A. in political science from Elon University. Zaldivar is admitted to practice law in Missouri and Illinois.

Attorney Han LiuLiu is an associate in the firm’s Corporate Services practice group where she primarily focuses on employee benefits and executive compensation. She works closely with clients to create, implement and amend welfare benefit and retirement plans, and has extensive experience with the Employee Retirement Income Security Act of 1974 (ERISA). Liu is also fluent in Mandarin Chinese.

Prior to joining the firm full time, Liu served as a law clerk in the employee benefits practice area. She also has past experience working as a summer associate for another St. Louis area law firm and as an intern for the U.S. Attorney’s Office in the Eastern District of Missouri. Before law school, she worked for a New York City accounting firm where she focused on financial reporting and tax preparation.

Liu earned her J.D., magna cum laude, from Washington University School of Law and a master’s in accounting from Baruch College, Zicklin School of Business. In addition, she earned a B.S. in accounting from the State University of New York at Buffalo. Liu is admitted to practice law in Missouri.

Attorney Michael CarwinCarwin is an associate in the firm’s Intellectual Property Litigation practice. He is a registered patent attorney and focuses on asserting and defending claims of patent infringement, trademark infringement, copyright infringement and trade secret misappropriation.

Carwin represents clients in diverse technical fields, ranging from biotechnology and complex mechanical devices to computer software and hardware. He has experience at both the state and federal level, including post-grant proceedings and inter partesreview before the Patent Trial and Appeal Board (PTAB) and cancellation proceedings before the Trademark Trial and Appeal Board (TTAB).

In addition, Carwin has experience in all phases of litigation, including taking and defending percipient and expert witness depositions, drafting pleadings and complex pre- and post-trial motions, preparing for trial in federal court, and conducting direct and cross examinations of witnesses during a jury trial.

Prior to joining the firm, Carwin worked as an associate at an intellectual property law firm in Los Angeles, California. He also has past experience as a law clerk in private practice.

He earned his J.D. from Southwestern Law School and B.A. in molecular and cell biology from the University of California – Berkeley. He is admitted to practice law in California and before the U.S. District Court for the Central District of California, as well as the U.S. Patent and Trademark Office.
