Am Law 100 firm Polsinelli welcomes corporate law veteran Sean Power as a shareholder in the firm’s Kansas City, Mo. headquarters office. Power brings more than 25 years of experience as a member of Polsinelli’s national Corporate & Transactional Practice, representing both private and public companies on corporate matters. He will primarily focus on matters and transactions involving Employee Stock Ownership Plans (ESOPs) and ESOP-owned companies.
“Sean is a seasoned corporate attorney with a plethora of legal experience from both the general counsel and private firm perspectives,” said Corporate & Transactional Practice Chair Jonathan K. Power regularly assists clients with ESOP transaction planning and design, formation, operation and regulation. He represents corporate ESOP sponsors, their shareholders, lenders and trustees. He is also involved in assisting ESOP companies on a variety of corporate matters, including serving as outside general counsel, and providing innovative legal solutions to help businesses achieve their objectives.
With a background in both business and legal roles, Power leverages his experience serving more than a decade as General Counsel and a member of the executive team for the North American business units of a publicly-traded company, which included steelmaking, international trade, construction, manufacturing and engineered building solutions. Power oversaw all legal affairs, in addition to managing tax, insurance, government relations and strategy for these businesses, which in aggregate comprised more than $2.5 billion in revenue.

Power’s deep corporate law experience includes acting as a fiduciary committee member for a $200M+ defined benefit plan and $400M+ defined contribution plan, leading the legal workstream in the development of a $700M heavy manufacturing capacity expansion capital project, managing and negotiating the sale of a manufacturer of non-residential construction products to a strategic buyer for $145M, and drafting and negotiating several $1B take-or-pay supply agreements with domestic and overseas raw materials suppliers, to name a few.
Power earned a Bachelor of Business Administration degree from Southern Methodist University prior to receiving a J.D. from the University of Missouri-Kansas City School of Law. He has furthered his education throughout his professional career through programming, including a “Mini-MBA” from Boston University in 2011, the Melbourne Business School’s (Melbourne, AU) “Executive Essentials” in 2013 and the “Strategic Business Leadership” program from the University of Chicago in 2015.
Polsinelli’s growing national Corporate & Transactional Practice provides a range of legal services from selecting the appropriate choice of entity through exit strategies and everything in between during the life cycle of a business. As part of the practice’s effort to further expand and strengthen its capabilities through growth, Power joins other recent members of the practice, including Bryan Wasser (Principal-Los Angeles), Edward T.
