Common stockholder accuses Panera, board members of SEC violation

ST. LOUIS — A common stockholder has filed a class-action lawsuit against a company and its board of directors, citing alleged nondisclosure of material facts.

John Romorenko, individually and on behalf of all others similarly situated, filed a complaint June 2 in the U.S. District Court for the Eastern District of Missouri against Panera Bread Co., Ronald M. Shaich, William W. Moreton, Domenic Colasacco, et al, alleging that they violated the Securities Exchange Act.

According to the complaint, the plaintiff alleges that if the merger of Panera Bread and Jab Holding Co. is completed, the plaintiff will be irreparably harmed. The plaintiff holds the defendants responsible because they allegedly failed to provide adequate disclosure of material information related to the JAB Holdings's acquisition of Panera Bread.

The plaintiff requests a trial by jury and seeks an order declaring this action as a collective action, enjoining the proposed transaction; award for costs, fees and expenses of this action; and all other relief as the court may deem just and proper.
