ST. LOUIS — A company is suing its president, citing alleged breach of fiduciary duty.
ESSCO Geometric Inc. filed a complaint July 10 in the St. Louis 22nd Judicial Circuit Court against Stanley Safron alleging he attempted to force the sale of minority shares in an amount less than the fair market value.
According to the complaint, the plaintiff alleges that the corporation will suffer immediate and irreparable, injury loss or damage in an amount in excess of $25,000. The plaintiff holds Safron responsible because the defendant allegedly diverted corporate funds for personal use, discharged minority shareholders who are long-time employees and refused to examine of corporate accounts and records.
The plaintiff requests a trial by jury and seeks judgment against the defendant in excess of $25,000, costs and attorney's fees and all other relief as the Court may deem proper. He is represented by Patrick J. McCarthy of Patrick J. McCarthy Attorney at Law in St. Louis.
